Terms of Service

1. Acceptance of terms

By accessing or using 101lab by GreenBidz (the "platform"), you agree to be bound by these Terms of Service and our Privacy Policy. If you are using the platform on behalf of a business, you represent that you are authorized to bind that business. If you do not agree, do not use the platform.

2. Definitions

"Seller" means a verified business listing equipment for sale. "Buyer" means a verified business browsing, bidding on or purchasing equipment. "Listing" means an auction or direct-sale offer of equipment. "We", "us" and "our" refer to 101lab by GreenBidz as the operator of the marketplace.

3. Eligibility & accounts

The marketplace is intended for businesses, not consumers. To transact you must register and complete verification. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity under your account. Notify us immediately of any unauthorized use.

4. Role of the platform

We provide a marketplace that connects buyers and sellers and facilitates transactions, payments and logistics coordination. Unless expressly stated, the contract of sale for any item is between the buyer and the seller; we are not the manufacturer, owner or seller of the listed equipment.

5. Buyer obligations & bidding

Placing a bid in an auction, or confirming a direct-sale purchase, is a binding commitment to purchase at that price if accepted or if you are the winning bidder. You are responsible for reviewing the listing, condition notes and any inspection report, and for asking questions before bidding. Completed purchases are subject to the seller's stated terms and the platform's policies.

6. Seller obligations & listings

Sellers are responsible for the accuracy and completeness of their listings — including specifications, condition, photographs and the legal right to sell the equipment — and for honoring sales. Listings must not be misleading. We may review, edit, suspend or remove listings that violate these Terms or our policies.

7. Auctions & direct sales

Auctions run for a defined period and close at a stated time; the highest valid bid at close wins, subject to any reserve. Direct sales are fixed-price offers that may be purchased immediately. We may, where necessary, extend, cancel or re-list an auction, or void bids that breach these Terms.

8. Fees & payment

Applicable buyer or seller fees are disclosed before a transaction is completed and may vary by category, transaction type and region. Payments are processed through the platform; you agree to pay all amounts due, including any applicable taxes, for transactions you enter into.

9. Shipping, delivery & risk

We help coordinate packing, freight and customs documentation, but timelines depend on the equipment, route and third-party carriers. Unless otherwise agreed in the listing, duties and taxes are the buyer's responsibility, and risk of loss passes as set out in the applicable shipping terms.

10. Condition of equipment & inspection

Used equipment is sold on an "as is, where is" basis except where a seller expressly states otherwise. Listings and inspection reports are provided to help you assess condition, but you are responsible for satisfying yourself as to suitability before purchase. We do not warrant the performance, calibration or fitness for purpose of any listed item.

11. Prohibited conduct

You agree not to misuse the platform, including by posting false or infringing content, manipulating bids, circumventing fees by transacting off-platform, attempting unauthorized access, or listing items you do not have the legal right to sell or that are subject to export or other legal restrictions.

12. Intellectual property

The platform, its content and trademarks are owned by 101lab by GreenBidz or its licensors and are protected by law. By submitting a listing or other content, you grant us a non-exclusive license to host, display and promote it in connection with operating the marketplace.

13. Disclaimers & limitation of liability

The platform is provided "as is" and "as available" without warranties of any kind. To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, or for the acts, omissions, listings or equipment of buyers or sellers.

14. Indemnification

You agree to indemnify and hold us harmless from claims, losses and expenses arising out of your use of the platform, your listings or purchases, or your breach of these Terms.

15. Governing law, changes & contact

These Terms are governed by the applicable laws of the jurisdiction in which the platform operator is established, and disputes will be handled in the competent courts of that jurisdiction. We may update these Terms from time to time; continued use after changes constitutes acceptance.
